History

GVC Holdings was founded in 2004 in the Isle of Man by a group of gambling-industry investors, most prominently Kenneth Alexander, who served as CEO until 2016 and has been widely described in press coverage as a co-founder. The company listed on London's AIM in 2005 and steadily built a portfolio of online casino and sports-betting assets.

The 2013 acquisition of Sportingbet expanded its international sportsbook footprint; the £1.1bn acquisition of bwin.party digital entertainment in 2016 brought in the bwin, partypoker, PartyCasino and Foxy brands; and the 2018 takeover of Ladbrokes Coral for over £3bn added the Ladbrokes, Coral and Gala retail and online brands, making GVC one of the largest betting and gaming operators in the world. The group renamed itself Entain plc in December 2020.

Scale and market reach

Entain operates in roughly 30 countries and territories, most of which are regulated or are in the process of regulating online betting and gaming. It is a B2C operator, earning net gaming revenue from online sports betting, casino, poker and bingo, as well as from retail betting shops in the UK and Ireland.

Brands and products

The brand portfolio is unusually broad for an operator. Ladbrokes and Coral provide UK retail and online sports betting; bwin and Sportingbet are main online sportsbook brands in continental markets; Eurobet serves Italy; partypoker and PartyCasino cover poker and casino; Gala and Foxy cover bingo, casino and games in the UK; Neds and Ladbrokes Australia serve Australia; and BetMGM operates in the US. In addition to these B2C brands, the group's proprietary platform supports its joint-venture operations and selective partnerships.

Regulatory and compliance

Entain has a notable regulatory record, much of it inherited from asset acquisitions. In 2019 the group disclosed an investigation by HMRC and the US Department of Justice into historic bwin casino operations; it was resolved in 2020 with a £585m settlement, structured as a Deferred Prosecution Agreement, the largest such agreement in the UK at the time, covering failures in anti-money-laundering and social-responsibility controls. In 2023 the UK Gambling Commission imposed a separate £17m penalty on Entain for online social-responsibility and AML failures. The company has responded by divesting peripheral assets, such as Georgian brand Crystalbet in 2023, and by concentrating on markets with clear regulatory regimes.

Market position, M&A and governance

Entain has repeatedly attracted takeover interest. MGM Resorts made an £8.1bn cash-and-shares approach in January 2021 and DraftKings proposed a roughly $20bn combination in September 2021; both were rejected. In 2023, activist investor Eminence Capital took a stake and publicly pressed for changes to board and strategy. That pressure helped trigger a leadership transition: Jette Nygaard-Andersen, CEO since January 2021, stepped down in September 2024; board member Stella David served as interim CEO; and Gavin Isaacs, a veteran gambling executive previously at Scientific Games and SBTech, became permanent CEO on 6 January 2025.
