Rational Group Ltd. was the private holding company that owned and operated the world’s two largest online poker brands: PokerStars and Full Tilt Poker. Founded in 2001 by Mark Scheinberg and his father Isai Scheinberg, the company built PokerStars into the global market leader by offering a secure, high-volume poker platform with innovative tournament structures such as the “Sunday Million.” In 2012, Rational Group acquired the assets of Full Tilt Poker as part of a $731 million settlement with the U.S. Department of Justice, adding a second major brand to its portfolio. Company History
Rational Group Ltd. was established in 2001 by entrepreneur Mark Scheinberg and his father Isai Scheinberg. Isai had previously founded the software company that powered PokerStars, and Mark took the lead in building the brand into a global phenomenon. The company’s flagship product, PokerStars.com, launched in September 2001 and quickly became the largest online poker room by traffic and revenue. Rational’s success was driven by a relentless focus on customer experience, security, and innovation. It introduced the industry’s first major online poker tournament, the “Sunday Million,” which guaranteed $1 million in prize money every week and helped attract a massive player base.
In 2011, following the “Black Friday” indictments that shut down the top U.S.-facing poker sites, PokerStars was able to continue serving players outside the U.S. and eventually reached a settlement with the DOJ in 2012. As part of that settlement, Rational Group acquired the assets of Full Tilt Poker for approximately $731 million, assuming its player liabilities. Full Tilt, originally founded in 2004 by a group of professional poker players including Chris Ferguson and Howard Lederer, had been shuttered after the DOJ allegations. Rational relaunched Full Tilt as a separate brand under its ownership.

At its peak, Rational Group employed approximately 1,600 people globally, based on pre-acquisition reports. The company operated from its headquarters in the Isle of Man, with additional offices in the United Kingdom, Malta, and elsewhere. It was privately held until the 2014 acquisition by Amaya. Rational Group did not maintain a public-facing website separate from its brands; product websites were www.pokerstars.com and www.fulltilt.com. The company held gaming licenses from the Isle of Man Gambling Supervision Commission and the Malta Gaming Authority.
Post-Acquisition Evolution
The Amaya acquisition changed Rational’s trajectory. Amaya, led by CEO David Baazov, purchased Rational for $4.9 billion, creating the world’s largest publicly traded online gaming company. Post-acquisition, Rational Group was maintained as a subsidiary with its own management, but over time the brands were integrated. In 2015, Amaya appointed Rafi Ashkenazi as CEO of Rational Group. In 2017, Amaya rebranded as The Stars Group. In 2020, The Stars Group merged with Flutter Entertainment, and the PokerStars and Full Tilt brands now operate under Flutter’s online division. Full Tilt’s standalone poker platform was retired in May 2016, with players migrated to PokerStars, though the Full Tilt brand continues as an online casino and sportsbook offering in certain regulated markets.
