The Stars Group Inc. was a Canadian online gambling operator and, for a time, one of the largest pure-play iGaming companies in the world, best known as the owner of PokerStars. The company emerged from Amaya Inc., a Montreal-based gaming firm founded by David Baazov, which acquired PokerStars' parent Rational Group for US$4.9bn in 2014. Amaya was renamed The Stars Group in 2017 to align the corporate brand with its flagship poker business. From there it expanded beyond online poker into online casino and sports betting, acquiring Sky Betting & Gaming and BetEasy and launching FOX Bet in the United States. At its peak the group operated across Europe, Australia and selected US regulated markets and employed roughly 4,000 people. In May 2020, Flutter Entertainment completed an all-share merger with The Stars Group, creating one of the world's largest online gambling companies by revenue and absorbing the former Stars Group operations into its newly formed international division. The Stars Group no longer exists as an independent public company, and its products now sit within Flutter's portfolio.

Origins and the PokerStars acquisition

The Stars Group's history is inseparable from PokerStars. PokerStars launched in 2001 under the Rational Group umbrella and grew into the dominant global online poker site. The pivotal corporate event came in 2014, when Amaya Inc., a relatively small Canadian-listed gaming supplier, agreed to buy Rational Group for US$4.9bn. The acquisition transformed Amaya into the largest online poker business in the world. Amaya subsequently divested or reorganised its earlier gaming technology assets and, in 2017, rebranded as The Stars Group to leverage the global brand equity of PokerStars. In 2018 it acquired Sky Betting & Gaming from CVC Capital Partners for approximately £3.6bn, adding major UK and Ireland-facing brands including Sky Bet, Sky Vegas, Sky Casino, Sky Bingo and Sky Poker. That same year it completed its acquisition of Australian sports betting operator CrownBet, which was rebranded as BetEasy. Market Position and Competitors

At its peak, The Stars Group was one of the largest listed pure-play online gambling companies in the world. PokerStars gave it a dominant share of regulated and former grey-market online poker traffic, and the addition of sports betting and casino products made the group genuinely multi-product and multi-market. Its main competitors included large diversified operators such as GVC Holdings, bet365, William Hill and Paddy Power Betfair, as well as poker-focused rival 888 Holdings. Licensing and Regulatory Footprint

The Stars Group followed a regulated-market strategy, particularly after PokerStars' earlier US legal difficulties had been addressed. PokerStars held licences in markets including the UK, Italy, France, Spain, Portugal, Denmark and New Jersey. The company's sports betting and casino brands operated in the UK, Ireland, Australia and several US states where sports betting had been legalised. Merger with Flutter and Final Chapter

In October 2019, Flutter Entertainment, the parent of Paddy Power and Betfair, announced an all-share merger with The Stars Group. The deal completed on 5 May 2020, creating one of the world's largest online gambling companies by revenue. The Stars Group was delisted from the NASDAQ and TSX, and its then-CEO, Rafi Ashkenazi, became CEO of Flutter International, the division formed from the former Stars Group assets. The Stars Group brand ceased to exist as an independent public company, and its operations were absorbed into Flutter's wider portfolio.
