Evoke’s board unanimously recommends shareholders approve the all-share acquisition by Bally’s Intralot, with the scheme document released ahead of a 17 August vote in London. Financial advisers deem the terms fair, and the deal would create a top-tier UK iGaming and sports betting operator.

Evoke’s board has given its full backing to the proposed all-share acquisition by Bally’s Intralot, urging shareholders to vote in favour when they meet on 17 August. The recommendation comes with the release of the formal scheme document, which was published on 21 July and lays out the complete terms of the transaction.

The deal will be structured as a scheme of arrangement under Gibraltar’s Companies Act 2014, requiring approval from both shareholders and the court. Shareholders will cast their votes at a Court Meeting and General Meeting scheduled to take place in London.

Financial advisers Morgan Stanley and Rothschild & Co have reviewed the financial terms and concluded they are fair and reasonable, taking into account the board’s own commercial judgment. The scheme document also offers eligible shareholders the choice of a cash alternative instead of receiving new shares in the combined entity.

According to the board, each investor should weigh their personal circumstances when deciding whether to take the immediate liquidity of the cash option or to maintain exposure to the enlarged group’s future performance through equity.

The acquisition was first announced on 5 June as part of Bally’s Intralot’s strategy to strengthen its international gaming and betting footprint. Once completed, the combined group will incorporate Evoke’s brands—including William Hill and 888—onto Bally’s lottery, betting, and gaming platform. The enlarged entity is expected to become the second-largest operator in UK iGaming and rank fourth in UK online sports betting by gross gaming revenue.
